Boardroom Confidential Community Terms of Services

1. Acceptance of Terms
By joining and participating in the Boardroom Confidential Community (“Community”), you agree to comply with and be bound by these Terms of Service (“Agreement”). This Agreement forms a legally binding agreement between you and the operator of the Community, Boardroom Confidential (“we,” “us,” or “our”). If you do not agree with these terms, you must not use the Community. By accessing or using the Community, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement.
If you are entering into this Agreement on behalf of a business or legal entity, you represent that you have the authority to bind that entity to this Agreement, and “you” refers to such entity. If you do not have such authority, you may not join or participate in the Community.
2. Description of Services
The Boardroom Confidential Community is an exclusive online platform for executives (directors, VPs, C-suite leaders, or equivalent seniority levels) to engage in discussions, share insights, and build networks. The Community provides access to discussion forums, group chats, workshops, comp review sessions, networking events, and access to resources curated for executives, including a private Slack workspace, executive-related resources, consulting services, and more.
We may modify or discontinue, temporarily or permanently, any part of the Community services with or without notice. We reserve the right to refuse any new members based on eligibility or at our discretion.
3. Confidentiality & Privacy
You agree that confidentiality is a cornerstone of the Community. All discussions, insights, and content shared within the Community are confidential and must remain within the platform. You are prohibited from sharing or distributing any information outside the Community without explicit permission from all relevant parties. Breaching confidentiality will result in immediate removal and potential legal action.
We value your privacy and are committed to protecting your personal data. By participating in the Community, you consent to the collection and use of your personal data in accordance with our Privacy Policy, which governs the processing of information shared within the platform.
4. Membership Eligibility & Account Registration
To join the Community, you must meet the following eligibility criteria:
- You must be an executive (director-level or equivalent or higher).
- You must be at least 18 years old and legally capable of entering into this Agreement.
- You must provide accurate and complete registration information.
You are responsible for maintaining the security of your account and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
5. Usage Restrictions
As a member, you agree to use the Community in compliance with its Community Guidelines. These terms include but are not limited to:
- No Discrimination or Harassment: Any form of discrimination, harassment, or abusive behavior is strictly prohibited and will result in immediate termination of your membership.
- Respect Confidentiality: Do not share any confidential information discussed within the Community.
- No Unauthorized Access: You may not attempt to access accounts or information that you are not authorized to access.
6. Termination & Suspension of Membership
We reserve the right to suspend or terminate your membership at our discretion for violations of these Terms of Service, especially if you breach confidentiality or engage in any prohibited behavior.
Upon termination, you will lose access to the Community, and any content or data associated with your account may be deleted. We also reserve the right to suspend or terminate the Community itself, at which time members will be given notice where possible.
7. Dispute Resolution by Binding Arbitration
Any disputes arising out of or related to this Agreement or your participation in the Community shall be resolved through binding arbitration, in accordance with the rules of the Ontario, Canada. You agree to waive your right to bring any dispute in court, including a jury trial, and to resolve all disputes individually, without resorting to class action.
8. Limitation of Liability
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your participation in the Community, including but not limited to loss of profits, data, or business opportunities.
Our total liability to you for any claim arising from or related to this Agreement shall not exceed the amount of membership fees paid by you in the previous one month.
9. Indemnification
You agree to indemnify and hold harmless Boardroom Confidential, its directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including attorney fees) arising from your breach of this Agreement, your participation in the Community, or your violation of any third-party rights.
10. Intellectual Property Rights
All content, trademarks, and materials within the Community are the property of Boardroom Confidential or its licensors. You are granted a limited, non-exclusive right to access and use the content for personal, non-commercial use within the Community. Any unauthorized use of the content or materials may result in termination of your membership.
11. Changes to Terms of Service
We reserve the right to modify these Terms of Service at any time. If we make material changes, we will notify you via email or by posting the updated terms on our website. Continued use of the Community after such changes constitutes your acceptance of the new terms.
12. Governing Law
This Agreement and any disputes arising out of or related to it will be governed by and construed in accordance with the laws of Ontario, Canada.
